| Rodney G. Smith | President |

Mr. Smith leads the sales and business development activities of Abraxas. Drawing on a distinguished career leading highly specialized organizations to remarkable success, Mr. Smith has for more than two years brought that same success and mission focus to Abraxas where he drives revenue and earnings opportunities across each of the Abraxas products and services. A former local and federal prosecutor and criminal justice policy advisor during the Reagan Administration, Mr. Smith capped a remarkable career in the National Security community where he last led two operational divisions. Mr. Smith holds a Bachelor's degree cum laude from Dartmouth College and a Juris Doctor from Boston University . He is a combat veteran of the United States Marine Corps.

Responsible for the day to day operations, organizational development, integration and growth of the Abraxas companies, Mr. Juneau brings to Abraxas Corporation more than 20 years of success in domestic and international sales, business development, and operations experience, most notably with FedEx International, America Online (AOL), and PaymentOne Incorporated. Mr. Juneau holds a Bachelor of Arts degree from Louisiana State University in Baton Rouge . Mr. Juneau was a Distinguished Military Graduate, Infantry Officer, and US Army Ranger serving lastly as troop commander in the 1st Battalion 75th Ranger Regiment before entering the private sector.

| Wesley R. Husted | Chief Financial Officer |

As the Chief Financial Officer (CFO), Mr. Husted brings more than 35 years of Merger and Acquisition, Program, and International Financial Management experience to Abraxas. With repeated success across the Defense, R&D, Information Technology, and Telecommunications markets, Mr. Husted now leads the strategic financial planning and M&A initiatives that to date have resulted in four successful acquisitions. Central to this function he is responsible for the company's capital structure, debt offerings, and treasury functions with a track record of growing earnings faster than revenue consistently on a year over year basis. Mr. Husted holds a BSBA and MBA from Regis University of Colorado.

| Lance M. Cottrell | Chief Scientist |

Lance is an internationally recognized expert in cryptography, online privacy, and Internet security and as the Abraxas Chief Scientist leads corporate initiatives to advance privacy and information security issues across all domains. A Certified Information Systems Security Professional and principal author on multiple Internet privacy and security technology patent applications, Lance founded Anonymizer, Inc. in 1995 and has been the principal architect for privacy and security initiatives since. Lance is a frequent voice at conferences such as the Computers Freedom and Privacy Conference, Organization Economic Cooperation and Development in Europe, and the MIT Forum. While sitting on the Steering Committee for Software as a Service (SaaS) with the San Diego Software Industry Council (SDSIC), he is also an active member of InfraGard and the High Technology Crime Investigation Association (HTCIA). Cottrell holds a MS in Physics from the University of California San Diego and a BS in Physics from the University of California Santa Cruz.

Ms. Shepherd brings to Abraxas Corporation 20 years of extensive financial operations experience and leadership. Working in close concert with the CFO, Ms. Shepherd heads a team of professionals responsible for all financial operations, including monitoring, forecasting, reporting and analysis for a parent company, its subsidiaries and sister companies. Additionally, she oversees the Abraxas Stock Option Plan and leads the financial integration of recently acquired businesses to include deployment of all corporate financial technologies. A Certified Public Accountant, she holds a BS in Decision Sciences, Information Resource Management from George Mason University.

| Joshua J. Lippard | Senior Counsel for Technology, Privacy and Security |

Mr. Lippard brings extensive legal and operational experience in the areas of technology, privacy and national security. He has served as corporate counsel at Microsoft, as an Assistant General Counsel for National Security Law at the FBI, as an attorney in the DoD Office of General Counsel and as a detailee to the DOJ Computer Crimes and Intellectual Property Section. He holds a bachelor's degree from Princeton University, a law degree from Boston College Law School and a master's degree from Harvard University's Kennedy School of Government. He is a member of the Massachusetts Bar and is a term member of the Council on Foreign Relations.

Ms. Lee is a seasoned legal professional with more than 20 years experience in the legal field. In her role as Corporate Secretary, Ms. Lee leads corporate shareholder relations, communications, and annual meetings, as well as maintains the corporate records for Abraxas, its subsidiaries and sister companies. Additionally, she administers the companies� Stock Option Plans, corporate communications with the board of directors, senior management and the company's shareholders. Ms. Lee acts as the corporate liaison with counsel on legal compliance issues. She holds a MA in International Transactions from George Mason University, a BA in English from Allegheny College, and a Legal Assistant certificate from George Washington University.
